Botswana Competition Authority Approves Novus Holdings’ Acquisition of Mustek Shares. The Competition and Consumer Authority (CCA) has granted unconditional approval for Novus Holdings Limited to acquire additional shares in Mustek Limited, following an assessment under the Competition Act 2018.
Novus Holdings, a Johannesburg Stock Exchange (JSE)-listed company, specializes in commercial printing, manufacturing, packaging, and tissue production. While it does not have direct operations in Botswana, its subsidiary, Novus Print Proprietary Limited, provides printing services to local customers.
Mustek, also listed on the JSE, operates in the ICT sector, offering security, point-of-sale, alternative power solutions, cybersecurity services, skills training, and property rental. It supplies ICT solutions to certain customers in Botswana but does not maintain a physical presence in the country.
The CCA determined that the merger would not reduce competition or disrupt service delivery in Botswana. Since Novus Holdings and Mustek operate in distinct industries, the acquisition does not create product overlap or horizontal competition concerns.
Following its review, the CCA approved the transaction without conditions, affirming that it complies with Botswana’s competition laws. However, it emphasized that this approval does not override any other statutory requirements that the merging parties must fulfill under Botswana’s legal framework.
