The Competition and Consumer Authority (CCA) of Botswana has received a notification regarding a significant merger in the retail furniture market. Joshua Doore Russells Botswana Proprietary Limited (JD Botswana) is seeking to acquire the retail furniture business, along with the claims, rights, and interests, of Retail Holdings Botswana Proprietary Limited (Retail Holdings).

If approved, this acquisition will transfer ownership of Retail Holdings’ retail furniture business—including its 16 OK Furniture stores and one House & Home store in Botswana—to JD Botswana.

Key Players in the Merger

JD Botswana is part of the Pepkor Holdings Limited group, a publicly traded company listed on the Johannesburg Stock Exchange (JSE). JD Botswana operates well-known retail brands such as Bradlows, Sleepmasters, HiFi-Corp, and Incredible Connection, with a total of 19 stores in Botswana.

Retail Holdings is wholly owned by Shoprite International Limited, which falls under Shoprite Holdings Limited. Shoprite Holdings, also listed on the JSE, operates across various African markets.
